Microsite Partner - Terms and Conditions

Welcome to Microsite Partner! We’re excited to partner with you to grow your business. These Terms and Conditions (“Terms”) govern your use of the services provided by Microsite Partner (“Company,” “we,” “us”). By engaging our services, you (“Client,” “you”) agree to these Terms in their entirety. Please read them carefully.
π 1. Acceptance of Terms
This document, along with any mutually executed Statement of Work (“SOW”), forms a legally binding agreement between you and Microsite Partner. Your payment of the first invoice constitutes your acceptance of these Terms.
π 2. Description of Services
Microsite Partner provides a comprehensive, managed microsite solution designed for lead generation and optimized for modern AI-driven search engines.
2.1 Core Services
Your monthly subscription includes the following, tailored to a single microsite:
- Microsite Development & Management: We will design, build, host, and maintain a high-quality microsite focused on a specific niche of your business.
- Dedicated Phone Number: A unique, trackable phone number that forwards directly to you.
- Forwarding Email Address: A professional email address (e.g.,
contact@yourmicrosite.com
) that forwards to your primary inbox. - Content & SEO: Creation and publication of niche-focused content (text, and where agreed upon, video or audio) and ongoing link building to improve search engine ranking.
- AI Generative Search Optimization: Our strategies are specifically designed to perform well in AI-powered search results (like Google’s SGE).
2.2 Optional Services
- Paid Traffic Management: We offer optional management of paid advertising campaigns (e.g., Google Ads, Meta Ads) for an additional fee, which will be detailed in a separate SOW.
π° 3. Pricing, Payments, and Commitment
We believe in transparent pricing and a long-term partnership approach.
3.1 Subscription Fees
Our pricing is based on the scope and competitiveness of your target niche. All fees are billed monthly in advance.

3.2 One-Year Minimum Commitment
Our services require a significant upfront investment in strategy, development, and content. Therefore, all plans require a minimum commitment of one (1) year (12 consecutive months).
3.3 Payment Terms
- Payments are due on the first day of each monthly service period.
- We primarily use an automated billing system. You agree to maintain a valid payment method on file.
- Late payments may result in a temporary suspension of services and a late fee of 1.5% per month on the outstanding balance.
- On a case-by-case basis, we may agree to flexible payment arrangements, which must be documented in writing.
π 4. Ownership, Control, and Buyout
Our ownership model is designed to give you security while allowing us to effectively manage the asset.
4.1 Client Ownership During Service
Throughout the duration of your active subscription, you are the beneficial owner of the microsite’s domain name and all content created specifically for you. This means the asset is yours and is being built for your long-term benefit.
4.2 Company Control
To deliver our services effectively, Microsite Partner will maintain administrative and operational control over:
- The website hosting environment.
- The domain name’s DNS settings.
- All backend files, databases, and software.
4.3 Microsite Buyout Option
After completing your initial 12-month commitment, you have the option to purchase the microsite outright for a one-time fee of $5,000.
Exercising the buyout option grants you:
- Full administrative control and ownership of the domain name.
- A complete package of all website files, databases, and created assets.
- Assistance with migrating the site to a hosting provider of your choice.
- Full, unrestricted ownership of the intellectual property of the site’s content.
Important Notice: The buyout option is only available after the successful completion of the 12-month minimum commitment period.
β 5. Performance Guarantee
We stand by our ability to deliver results.
5.1 Mutually Agreed KPIs
At the beginning of our engagement, we will collaborate with you to define clear Key Performance Indicators (KPIs) in your SOW. These KPIs will be realistic and relevant to your lead generation goals (e.g., number of qualified phone calls, form submissions, or specific search ranking milestones).
5.2 Guarantee Terms
If, at the end of the initial 12-month commitment period, we have failed to achieve the mutually agreed-upon KPIs, Microsite Partner will refund 50% of the total subscription fees you have paid during that 12-month period.
5.3 Conditions
This guarantee is contingent upon the following:
- The Client has not made any changes to the microsite or its SEO strategy without our prior consent.
- The Client has provided timely feedback and approvals as requested.
- The guarantee does not apply if failure to meet KPIs is due to external factors beyond our control, such as the Client’s business ceasing operations or major, unforeseeable algorithm changes that fundamentally alter the search landscape.
π« 6. Cancellation and Termination
This section outlines the process and consequences of ending our partnership.
6.1 Cancellation by Client
- During the 12-Month Commitment: You are obligated to complete all 12 monthly payments. Canceling service before the term ends does not relieve you of this financial obligation.
- After the 12-Month Commitment: You may cancel your service at any time with 30 days’ written notice.
6.2 Consequences of Termination (Without Buyout)
If the service is terminated for any reason (e.g., cancellation after 1 year, non-payment) and the buyout option is not exercised, the following will occur:
- The microsite will be taken offline and deactivated.
- The dedicated phone number and forwarding email address will be disabled.
- All lead data previously forwarded to you remains yours.
No Redirects or Data Sales:
- We will not implement 301 redirects from the microsite to another domain. This functionality is exclusively reserved for clients who exercise the buyout option.
- We will never sell your site, its data, or leads to a competitor. The asset will simply be retired.
6.3 Termination by Microsite Partner
We reserve the right to terminate this agreement with immediate effect if you fail to make timely payments or if you are in material breach of these Terms.
π§ 7. Intellectual Property
- Client’s Property: You grant us a non-exclusive license to use your company name, logos, trademarks, and pre-existing content for the sole purpose of creating and marketing the microsite. You retain full ownership of these assets.
- Our Property: We retain ownership of all our proprietary methods, processes, tools, and pre-existing materials used to create and manage the microsite.
- Microsite Property: As defined in Section 4, the microsite content and domain are beneficially owned by you during the service and fully transferred to you upon a successful buyout.
π‘οΈ 8. Limitation of Liability
To the maximum extent permitted by law, Microsite Partner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services. In no event shall our aggregate liability exceed the total amount paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.
βοΈ 9. General Provisions
- Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.
- Dispute Resolution: The parties agree to first attempt to resolve any disputes amicably through good-faith negotiation. If a resolution cannot be reached, the dispute shall be resolved through binding arbitration in Denver, Colorado.
- Entire Agreement: These Terms and the corresponding SOW constitute the entire agreement between the parties and supersede all prior agreements and understandings.
- Amendments: Any amendments to this Agreement must be in writing and signed by both parties.
